Welcome to Digispots! These terms refer to “we” or “us” as Digispots. Digispots operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the “Services”). Digispots is powered by Shopify, which enables us to provide the Services to you.

The following terms, together with the policies referred to herein (these “Terms of Service” or “Terms”), describe your rights and obligations when you use the Services.

Part 3 – Orders

When you place an order, you are offering to purchase a product or service. Digispots reserves the right to accept or decline your order for any reason at its sole discretion. Your order has not been accepted until Digispots confirms acceptance. We must receive and process your payment before your order is accepted. Please check your order carefully before submitting it, as Digispots may not be able to accommodate cancellation requests after an order has been accepted.

A purchase may only be returned or exchanged in accordance with our Return & Refund Policy. If we do not accept an order, make changes to it or cancel it, we will try to notify you using the email address or phone number you provided at the time of ordering.

You represent and warrant that your purchase is intended for your own personal or household use and not for commercial resale or export.

Part 4 – Prices and Billing

Prices, discounts and promotions may be changed without prior notice. The price charged for a product or service will be the price in effect at the time of the order. The price will be stated in the order confirmation email. Unless otherwise specifically stated, prices listed do not include taxes, shipping charges, handling fees, customs duties or import charges.

Prices shown in our online store may differ from prices in effect in physical stores or online or in other third-party stores. We may from time to time run promotions on our Services that may affect pricing and that may be subject to terms separate from these Terms. In the event of a conflict between the terms of a promotion and these Terms, the promotion terms will take precedence.

You represent and warrant that (i) the credit card information you provide is truthful, correct and complete; (ii) you are authorised to use those credit card details to make a purchase; (iii) charges incurred by you will be honoured by your credit card company; and (iv) you will pay the charges incurred by you, including the prices shown, delivery and handling charges, and any applicable taxes.

Part 5 – Shipping and Delivery

We offer free shipping on all orders worldwide. Delivery times are estimates and may vary due to customs clearance, public holidays, or carrier delays. Please see our Shipping Policy for current delivery estimates by region.

We are not responsible for delays caused by the carrier, customs procedures or other events beyond our control. When we hand over products to a delivery service, ownership and risk of loss pass to you.

Part 6 – Intellectual Property

All intellectual property in the Services — including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, videos and pictures and their design, selection and arrangement — is owned by Digispots, its partners or licensors, and is protected by patent, copyright and intellectual property laws in Finland and other countries.

You may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store or transmit any of the materials on the Services, or create derivative works from them, without our prior written permission. Unless expressly stated otherwise in these Terms, nothing herein grants or should be construed as granting you any licence or other rights under any patent, trademark, copyright or other intellectual property right of Digispots, Shopify or any third party. Unauthorised use of the Services may violate intellectual property laws. Digispots reserves all rights not expressly granted herein.

The names, logos, product and service names, designs and slogans of Digispots are trademarks of Digispots or its partners or licensors. You may not use these trademarks without the prior written permission of Digispots. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans that appear on the Services are the trademarks of their respective owners.

Part 7 – Optional Tools

As part of the Services you may be given access to third-party tools that we do not control and over which we have no influence.

You acknowledge that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which the relevant third parties provide those tools.

Part 9 – Relationship with Shopify

Digispots uses Shopify's services to enable us to provide the Services to you. However, in any purchase you make in our store, the other party is Digispots directly. By using the Services, you agree that Shopify is not responsible for any aspect of the transactions between you and Digispots, including any injuries, damages or losses arising from the products or services purchased. You hereby expressly release Shopify and its partners from all claims, damages and liabilities resulting from or related to your purchases and transactions with Digispots.

Part 10 – Privacy Policy

All personal data collected through the Services is subject to our Privacy Policy. By using the Services, you confirm that you have read and understood our privacy practices.

Because the Services are hosted by Shopify, Shopify collects and processes personal data about your use of the Services in order to provide and improve them for you. You warrant that your Feedback does not infringe any third-party rights, including copyright, trademarks, privacy, identity or other personal or proprietary rights. You also agree that your Feedback will not contain defamatory or otherwise unlawful, abusive or obscene content, or any computer viruses or other malware that could in any way affect the operation of the Services or related websites.

TO THE EXTENT PERMITTED BY LAW, DIGISPOTS, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, SUBSIDIARIES, AGENTS, SUBCONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THE EQUIVALENT ENTITIES OF SHOPIFY AND ITS PARTNERS, SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, CLAIMS OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST SAVINGS, LOST DATA, REPLACEMENT COSTS OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS ACQUIRED THROUGH THE SERVICES, OR FROM ANY OTHER CLAIM RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

Part 17 – Indemnification

You agree to indemnify, defend and hold harmless Digispots, Shopify and our subsidiaries, partners, officers, directors, employees, agents, subcontractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal fees payable as a result of your (1) breach of these Terms of Service or the documents they incorporate by reference; (2) violation of any law or third-party right; or (3) use of these Services.

We will notify you of any indemnification claim, provided that failure to give timely notice will not release you from your obligations unless you suffer significant prejudice. We may manage the defence and settlement of such a claim at your expense, including the choice of legal counsel, but we will not settle any claim that imposes obligations on you other than financial without your consent (which you shall not unreasonably withhold). You will cooperate in the defence of indemnification claims, including by providing relevant documents.

Part 18 – Severability

If any provision of these Terms of Service is found to be unlawful, void or unenforceable, that provision is nevertheless enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service, without affecting the validity and enforceability of any remaining provisions.

Part 19 – Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies and operating rules we have published on this website or in relation to the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications or proposals, whether oral or written, between you and us (including any prior versions of the Terms of Service).

Part 20 – Assignment

You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt shall be void. We may transfer, assign or delegate these Terms and our rights or obligations without consent and without notice to you.

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction where Digispots is registered. You and Digispots each submit to the jurisdiction of the courts of that jurisdiction.
